Covid-19 Döneminde Birleşme ve Satın Alma Duyurularının Fiyatlanması: Borsa İstanbul’da Volatilite Rejimlerinin Rolü

Birleşme ve satın alma duyurularına verilen piyasa tepkisi duyurunun bilgi içeriğinin yanı sıra açıklamanın gerçekleştiği piyasa koşullarına bağlı olarak da değişebilmektedir. Bu çalışma, Covid-19 döneminde Türkiye’de gerçekleşen birleşme ve satın alma duyurularının fiyat etkilerinin volatilite rejimlerine göre farklılaşıp farklılaşmadığını incelemektedir. Bu amaçla Borsa İstanbul’da işlem gören şirketlere ait duyurular için olay çalışması yöntemi uygulanmış ve kümülatif anormal getiriler hesaplanmıştır. Piyasa volatilitesinin rejimsel yapısı BIST100 endeksi getirileri üzerinden tahmin edilen iki durumlu Markov geçişli GARCH modeliyle belirlenmiştir. Elde edilen rejim olasılıkları olay tarihleriyle eşleştirilmiş ve duyuru etkileri düşük ve yüksek volatilite rejimleri altında karşılaştırılmıştır. Bulgular, birleşme ve satın alma duyuruları çevresinde hesaplanan ortalama kümülatif anormal getirilerin genel olarak pozitif olmakla birlikte istatistiksel olarak anlamlı olmadığını göstermektedir. Kısa vadeli olay pencereleri ve winsorizasyon sonuçları da bu bulguyu desteklemektedir. Rejim bazlı analizler, piyasa tepkisinin düşük volatilite dönemlerinde daha olumlu bir seyir izlediğini, yüksek volatilite dönemlerinde ise zayıfladığını veya negatif yönde gerçekleştiğini göstermektedir. Bununla birlikte rejimler arasındaki fark istatistiksel olarak anlamlı değildir. EGARCH sonuçları ise yüksek volatilite rejimi olasılığı ile koşullu volatilite arasında pozitif bir ilişki bulunduğunu göstererek rejim sınıflamasının ekonomik yorumlanabilirliğini desteklemektedir. Bu yönüyle çalışma, olay çalışması yöntemini rejim temelli volatilite modelleriyle bütünleştirerek birleşme ve satın alma duyurularının farklı piyasa koşulları altında değerlendirilmesine yönelik bütünleşik bir analiz çerçevesi sunmaktadır.
